Terms of Use.

1. Company

This website and platform are operated by Sankhya Ventures LLC, a limited liability company incorporated in the State of Delaware, United States of America ("Company", "we", "us", or "our"). Our principal place of operations is Patdi, Surendranagar district, Gujarat, India.

2. Acceptance

By accessing or using this website (sankhyafarms.com), the Sankhya Intelligence dashboard, any APIs, or any open hardware designs or Gerber files published by Sankhya Ventures LLC (collectively, the "Platform"), you unconditionally accept these Terms of Use in their entirety. If you do not accept these terms, you must immediately cease all use of the Platform.

3. No Warranties — Disclaimer of All Kinds

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, SANKHYA VENTURES LLC EXPRESSLY DISCLAIMS ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING BUT NOT LIMITED TO:

· Warranties of merchantability, fitness for a particular purpose, title, or non-infringement.
· Warranties that the Platform will be uninterrupted, error-free, secure, or free of viruses or other harmful components.
· Warranties as to the accuracy, completeness, timeliness, or reliability of any sensor data, agronomic recommendations, AI-generated content, or other information provided through the Platform.
· Warranties that agronomic recommendations, irrigation schedules, fertigation advice, or any other decision-support output will produce any particular result for your crops, trees, or agricultural operations.

Agronomic and agricultural decisions involve inherent risk. Any recommendations or outputs from the Sankhya Intelligence platform are advisory only. You are solely responsible for evaluating all recommendations and for any decisions you make regarding the management of your crops, irrigation systems, fertilization programs, or any other agricultural operations.

4. Open Hardware — Use at Your Own Risk

Sankhya Ventures LLC publishes hardware design files, Gerber files, schematics, and related documentation for the Sankhya Intelligence Carrier Board (collectively, "Open Hardware") under the CERN Open Hardware Licence Permissive (CERN-OHL-P v2). The Open Hardware is published for educational and research purposes.

Fabrication, assembly, deployment, and use of any hardware based on these designs is entirely at your own risk. We make no representation that the designs are safe, suitable for any application, free of errors, or compliant with any regulatory or certification requirements in your jurisdiction. We accept no liability for any damage, injury, loss, or harm resulting from the fabrication or use of hardware based on our published designs.

You are solely responsible for ensuring that any hardware you fabricate complies with applicable laws, regulations, and safety standards in your jurisdiction, including but not limited to electrical safety standards and radio frequency regulations.

5. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, SANKHYA VENTURES LLC, ITS MEMBERS, MANAGERS, OFFICERS, EMPLOYEES, AGENTS, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, REVENUE, DATA, GOODWILL, CROP YIELD, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATING TO YOUR USE OF, OR INABILITY TO USE, THE PLATFORM OR ANY OPEN HARDWARE DESIGNS, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

In no event shall the aggregate liability of Sankhya Ventures LLC for any claims arising out of or relating to these terms or the Platform exceed the amount paid by you, if any, to Sankhya Ventures LLC in the twelve (12) months preceding the event giving rise to the claim, or USD $10 (ten United States dollars), whichever is greater.

6. Agricultural Data

Sensor data, agronomic records, and other data collected through the Platform relate to your specific agricultural conditions. We make no representation that such data is accurate, complete, or fit for any particular purpose. Cross-border data flows may be subject to applicable data protection laws including India's Digital Personal Data Protection Act 2023. By using the Platform, you consent to the processing and storage of such data in accordance with our operations.

7. Data Use and AI Model Training

By accessing or using the Platform, you grant Sankhya Ventures LLC a perpetual, irrevocable, worldwide, royalty-free, and sublicensable license to collect, store, process, and use the sensor readings, per-tree and per-zone records, agronomic observations, and usage data generated through your use of the Platform (collectively, "Platform Data") to develop, train, validate, and improve our proprietary models, algorithms (including the Uptake Index), and services.

We use Platform Data to improve agronomic outcomes across the Platform as a whole — for example, to increase yield, reduce pest and disease load, and refine irrigation, fertigation, and intervention recommendations for the trees, zones, and orchards served by the Platform. In other words, data contributed through any deployment helps improve the results delivered to every user.

Any models, parameters, insights, benchmarks, and aggregated or de-identified datasets derived from Platform Data are and shall remain the sole and exclusive intellectual property of Sankhya Ventures LLC, and we may continue to use them for any purpose. This license, and our right to use, retain, and continue to benefit from previously processed Platform Data and any derivatives, survives termination of these terms and of your access to the Platform. Processing of any personal data is carried out in accordance with applicable data protection laws, including India's Digital Personal Data Protection Act 2023.

8. AI-Generated Content

The Platform incorporates AI-generated agronomic recommendations produced by large language models. Such recommendations are generated automatically and have not been individually reviewed by an agronomist or expert. They should not be relied upon as professional agronomic advice. Always exercise independent judgment before acting on any AI-generated recommendation.

9. Intellectual Property

The Sankhya Intelligence platform, including the Uptake Index algorithm, proprietary data models, software, and brand assets, is the intellectual property of Sankhya Ventures LLC. Open Hardware designs are licensed under CERN-OHL-P v2 as stated in the applicable repository. Nothing in these terms grants you any right to use our trademarks, trade names, or service marks.

10. Governing Law

These terms are governed by the laws of the State of Delaware, United States of America, without regard to conflict of law principles. Subject to the binding arbitration provisions in Section 11, any judicial proceeding permitted under these terms — including to compel arbitration, to enter judgment on or enforce an arbitral award, or to seek the relief described in Section 11(d) — shall be brought exclusively in the state or federal courts located in the State of Delaware, and you consent to the personal jurisdiction of those courts.

11. Dispute Resolution; Binding Arbitration

(a) Binding Arbitration. Except as expressly set out in subsection (d), any dispute, claim, or controversy arising out of or relating to these terms or the Platform — including the breach, termination, enforcement, interpretation, validity, or scope thereof — shall be resolved exclusively by final and binding arbitration administered by JAMS in accordance with its Comprehensive Arbitration Rules and Procedures then in effect. The arbitration shall be conducted before a single arbitrator, seated in Wilmington, Delaware, United States of America, and conducted in the English language. Judgment on the award rendered by the arbitrator may be entered in any court of competent jurisdiction.

(b) Class Action Waiver. All disputes shall be resolved solely on an individual basis. YOU AND SANKHYA VENTURES LLC EACH WAIVE ANY RIGHT TO BRING, JOIN, OR PARTICIPATE IN ANY CLASS, COLLECTIVE, CONSOLIDATED, OR REPRESENTATIVE ACTION OR PROCEEDING. The arbitrator may not consolidate or join the claims of more than one person, and may not preside over any form of class, collective, or representative proceeding. If this class action waiver is held unenforceable as to a particular dispute, that dispute shall be severed and resolved in a court of competent jurisdiction in accordance with Section 10, while the remainder of this Section 11 shall continue to apply.

(c) Attorneys' Fees on an Actual Basis. In any arbitration or proceeding arising out of or relating to these terms, the prevailing party shall be entitled to recover from the non-prevailing party its actual attorneys' fees, expert fees, arbitrators' and administrative fees, and all related costs and expenses incurred, on a full indemnity (actual cost) basis, in addition to any other relief awarded.

(d) Exceptions. Notwithstanding the foregoing, either party may (i) bring an individual claim in a small-claims court of competent jurisdiction, and (ii) seek injunctive or other equitable relief in any court of competent jurisdiction to prevent the actual or threatened infringement, misappropriation, or violation of its intellectual property rights, confidential information, or proprietary data, without first submitting the matter to arbitration.

12. Changes to Terms

We reserve the right to modify these terms at any time. Continued use of the Platform following any modification constitutes your acceptance of the revised terms. We encourage you to review these terms periodically.
