Terms of Use.

1. Company

This website and platform are operated by Sankhya Ventures LLC, a limited liability company incorporated in the State of Delaware, United States of America ("Company", "we", "us", or "our").

2. Acceptance

By accessing or using this website (sankhyafarms.com), the Sankhya Intelligence dashboard, the demo orchard and demo MCP server described in Section 9, any APIs or MCP servers, or any open hardware designs or Gerber files published by Sankhya Ventures LLC (collectively, the "Platform"), you unconditionally accept these Terms of Use in their entirety. This includes use through an AI assistant or other software acting on your behalf. If you do not accept these terms, you must immediately cease all use of the Platform.

3. No Warranties — Disclaimer of All Kinds

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, SANKHYA VENTURES LLC EXPRESSLY DISCLAIMS ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING BUT NOT LIMITED TO:

· Warranties of merchantability, fitness for a particular purpose, title, or non-infringement.
· Warranties that the Platform will be uninterrupted, error-free, secure, or free of viruses or other harmful components.
· Warranties as to the accuracy, completeness, timeliness, or reliability of any sensor data, agronomic recommendations, AI-generated content, or other information provided through the Platform.
· Warranties that agronomic recommendations, irrigation schedules, fertigation advice, or any other decision-support output will produce any particular result for your crops, trees, or agricultural operations.

Agronomic and agricultural decisions involve inherent risk. Any recommendations or outputs from the Sankhya Intelligence platform are advisory only. You are solely responsible for evaluating all recommendations and for any decisions you make regarding the management of your crops, irrigation systems, fertilization programs, or any other agricultural operations.

4. Open Hardware — Use at Your Own Risk

Sankhya Ventures LLC publishes hardware design files, Gerber files, schematics, and related documentation for the Sankhya Intelligence Carrier Board (collectively, "Open Hardware") under the CERN Open Hardware Licence Permissive (CERN-OHL-P v2). The Open Hardware is published for educational and research purposes.

Fabrication, assembly, deployment, and use of any hardware based on these designs is entirely at your own risk. We make no representation that the designs are safe, suitable for any application, free of errors, or compliant with any regulatory or certification requirements in your jurisdiction. We accept no liability for any damage, injury, loss, or harm resulting from the fabrication or use of hardware based on our published designs.

You are solely responsible for ensuring that any hardware you fabricate complies with applicable laws, regulations, and safety standards in your jurisdiction, including but not limited to electrical safety standards and radio frequency regulations.

5. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, SANKHYA VENTURES LLC, ITS MEMBERS, MANAGERS, OFFICERS, EMPLOYEES, AGENTS, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, REVENUE, DATA, GOODWILL, CROP YIELD, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATING TO YOUR USE OF, OR INABILITY TO USE, THE PLATFORM OR ANY OPEN HARDWARE DESIGNS, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

In no event shall the aggregate liability of Sankhya Ventures LLC for any claims arising out of or relating to these terms or the Platform exceed the amount paid by you, if any, to Sankhya Ventures LLC in the twelve (12) months preceding the event giving rise to the claim, or USD $10 (ten United States dollars), whichever is greater.

6. Agricultural Data

Sensor data, agronomic records, and other data collected through the Platform relate to your specific agricultural conditions. We make no representation that such data is accurate, complete, or fit for any particular purpose. Data may be processed and stored in the United States and in other countries, and cross-border data flows may be subject to applicable data protection laws. By using the Platform, you consent to the processing and storage of such data in accordance with our operations.

7. Data Use and AI Model Training

By accessing or using the Platform, you grant Sankhya Ventures LLC a perpetual, irrevocable, worldwide, royalty-free, and sublicensable license to collect, store, process, and use the sensor readings, per-tree and per-zone records, agronomic observations, and usage data generated through your use of the Platform (collectively, "Platform Data") to develop, train, validate, and improve our proprietary models, algorithms (including the Uptake Index), and services.

We use Platform Data to improve agronomic outcomes across the Platform as a whole — for example, to increase yield, reduce pest and disease load, and refine irrigation, fertigation, and intervention recommendations for the trees, zones, and orchards served by the Platform. In other words, data contributed through any deployment helps improve the results delivered to every user.

Any models, parameters, insights, benchmarks, and aggregated or de-identified datasets derived from Platform Data are and shall remain the sole and exclusive intellectual property of Sankhya Ventures LLC, and we may continue to use them for any purpose. This license, and our right to use, retain, and continue to benefit from previously processed Platform Data and any derivatives, survives termination of these terms and of your access to the Platform. Processing of any personal data is carried out in accordance with applicable data protection laws and our Privacy Policy. Section 9(f) sets out how this section applies to the demo orchard and demo MCP server.

8. AI-Generated Content

The Platform incorporates AI-generated agronomic recommendations produced by large language models. Such recommendations are generated automatically and have not been individually reviewed by an agronomist or expert. They should not be relied upon as professional agronomic advice. Always exercise independent judgment before acting on any AI-generated recommendation.

9. Demo Orchard, MCP Server and AI Assistants

(a) A working demo of real controls. The demo orchard at sankhyafarms.com/play and the demo MCP server at demo.sankhyafarms.com (together, the "Demo") run Sankhya's production irrigation control code (the pump and valve controls, schedules, safety interlock and approval step) against a simulated orchard. The Demo is not connected to any real farm, and nothing done in it switches real equipment. Its crops, weather, sensor readings, yields, prices and events are simulated and illustrative. They are not agronomic, financial or other professional advice, and you should not rely on them for decisions about a real farm.

(b) Fictional currency. Amounts in the Demo are shown in S$ ("Sankhya dollars"), a made-up game currency. S$ is not Singapore dollars or any other real currency. It has no monetary value; it cannot be bought, sold, exchanged, transferred or redeemed; and its prices do not reflect real prices. No payment or other financial transaction takes place in the Demo.

(c) AI assistants. You may connect an AI assistant, such as Claude, to the Demo through the Model Context Protocol (MCP). The assistant calls the Demo's tools on your behalf, and you are responsible for the instructions you give it and for the actions you allow. Each tool is labelled as read-only, changing or destructive so that your assistant can ask you before it acts. Your use of an assistant is governed by its provider's own terms and privacy policy. The Demo receives the tool calls your assistant makes and the arguments it sends with them; it does not receive the rest of your conversation.

(d) Acceptable use. You agree not to: (i) interfere with or disrupt the Demo or the infrastructure that runs it, including by sending automated requests beyond ordinary use; (ii) access, or try to access, farms, sign-ins or data that are not yours, or probe or test the security of the Demo except as described in subsection (g); (iii) put unlawful, harmful or private content into a demo farm (anyone with a farm's code can open it); or (iv) use the Demo in breach of any law. We apply rate limits, and we may reset, suspend or delete any demo farm or connection at any time and without notice.

(e) Availability and deletion. The Demo is free of charge and is provided "as is" under Sections 3 and 5. It may be changed, reset or withdrawn at any time. A demo farm, with everything in it, is deleted 14 days after it was last used. The Demo's privacy notice is at sankhyafarms.com/mcp#privacy.

(f) Demo data. Section 7 does not apply to the contents of demo farms or to the tool calls made to the Demo. We use them only to run, secure and improve the Demo, and not to train agronomic models.

(g) Security reports. Please report a suspected vulnerability in the Demo or the Platform to [email protected], and give us reasonable time to fix it before you disclose it.

(h) Real deployments. The controls shown in the Demo can be deployed on a real farm with Sankhya's controller and sensor nodes. Real pumps, valves, fertilisers and mains power carry real risk, so a deployment needs qualified installation and remains subject to Sections 3 to 5 and to any separate written agreement with us.

(i) No affiliation. Claude is a trademark of Anthropic, and other product names belong to their owners. Sankhya is not affiliated with or endorsed by any AI provider, and a listing in a third-party directory is not an endorsement by the directory's operator.

10. Intellectual Property

The Sankhya Intelligence platform, including the Uptake Index algorithm, proprietary data models, software, and brand assets, is the intellectual property of Sankhya Ventures LLC. Open Hardware designs are licensed under CERN-OHL-P v2 as stated in the applicable repository. Nothing in these terms grants you any right to use our trademarks, trade names, or service marks.

11. Governing Law

These terms are governed by the laws of the State of Delaware, United States of America, without regard to conflict of law principles. Subject to the binding arbitration provisions in Section 12, any judicial proceeding permitted under these terms — including to compel arbitration, to enter judgment on or enforce an arbitral award, or to seek the relief described in Section 12(d) — shall be brought exclusively in the state or federal courts located in the State of Delaware, and you consent to the personal jurisdiction of those courts.

12. Dispute Resolution; Binding Arbitration

(a) Binding Arbitration. Except as expressly set out in subsection (d), any dispute, claim, or controversy arising out of or relating to these terms or the Platform — including the breach, termination, enforcement, interpretation, validity, or scope thereof — shall be resolved exclusively by final and binding arbitration administered by JAMS in accordance with its Comprehensive Arbitration Rules and Procedures then in effect. The arbitration shall be conducted before a single arbitrator, seated in Wilmington, Delaware, United States of America, and conducted in the English language. Judgment on the award rendered by the arbitrator may be entered in any court of competent jurisdiction.

(b) Class Action Waiver. All disputes shall be resolved solely on an individual basis. YOU AND SANKHYA VENTURES LLC EACH WAIVE ANY RIGHT TO BRING, JOIN, OR PARTICIPATE IN ANY CLASS, COLLECTIVE, CONSOLIDATED, OR REPRESENTATIVE ACTION OR PROCEEDING. The arbitrator may not consolidate or join the claims of more than one person, and may not preside over any form of class, collective, or representative proceeding. If this class action waiver is held unenforceable as to a particular dispute, that dispute shall be severed and resolved in a court of competent jurisdiction in accordance with Section 11, while the remainder of this Section 12 shall continue to apply.

(c) Attorneys' Fees on an Actual Basis. In any arbitration or proceeding arising out of or relating to these terms, the prevailing party shall be entitled to recover from the non-prevailing party its actual attorneys' fees, expert fees, arbitrators' and administrative fees, and all related costs and expenses incurred, on a full indemnity (actual cost) basis, in addition to any other relief awarded.

(d) Exceptions. Notwithstanding the foregoing, either party may (i) bring an individual claim in a small-claims court of competent jurisdiction, and (ii) seek injunctive or other equitable relief in any court of competent jurisdiction to prevent the actual or threatened infringement, misappropriation, or violation of its intellectual property rights, confidential information, or proprietary data, without first submitting the matter to arbitration.

13. Changes to Terms

We reserve the right to modify these terms at any time. Continued use of the Platform following any modification constitutes your acceptance of the revised terms. We encourage you to review these terms periodically.
